This document was drafted by the Voxa team in plain English and is intended as a good-faith, founder-grade description of how the service works. It has not yet been reviewed by qualified legal counsel. We are publishing it now so that early users can read clearly what the product does with their data, and so that legal review can be performed against a real artefact rather than a blank page. A formally reviewed v2.0 will replace this document; users will be notified by email at least 30 days before any material change.

Terms of service

These Terms of Service (the “Terms”) form a legal agreement between you and Voxa, operated by Adwait Keshari, sole proprietor (referred to as “Voxa”, “we”, “us”, or “our”). They cover the Voxa macOS application, the backend service it connects to, the website at voxa.app, and any related software we publish. Read them carefully. By using Voxa, you agree to be bound by them.

Acceptance of terms

By installing, signing in to, or otherwise using Voxa (the “Service”), you confirm that you have read these Terms and our Privacy Policy, that you have the legal capacity to enter into them, and that you agree to be bound by them. If you do not agree, do not use the Service. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms, and references to “you” include that organisation.

Eligibility

You must be at least 13 years old to use Voxa. Voxa is not directed at children under 13 and we do not knowingly accept accounts from them.

If you are located in India, you must be at least 18 years old, or have verifiable parental or legal-guardian consent in accordance with the Digital Personal Data Protection Act, 2023. Voxa does not currently operate verifiable-parental-consent tooling; until we do, we ask Indian users under 18 not to create an account.

You must not be a person prohibited from receiving the Service under the laws of India or any other jurisdiction that applies to you. If you are using the Service on behalf of an entity that is subject to economic sanctions or export controls that would forbid your use of the Service, you must not use it.

Account & responsibility

We use magic-link email sign-in. There is no password. You are responsible for keeping the email account on file secure, for keeping any API access tokens issued to your Mac private, and for every action taken under your account. Notify us promptly at legal@voxa.app if you suspect unauthorised use of your account.

You are responsible for the accuracy of the information you provide, including any third-party integrations you connect (Gmail, Calendar, Notion, Slack, Telegram, Discord, Twitter / X, and so on). When you authorise Voxa to act through one of these integrations, you authorise Voxa to take the actions you instruct — including, for example, sending an email or posting a message — on your behalf.

License grant

Subject to your compliance with these Terms, Voxa grants you a limited, personal, non-exclusive, non-transferable, revocable licence to install and use the Voxa macOS application for your own personal or internal business use.

All rights not expressly granted to you are reserved by Voxa. You may not (a) sublicence, sell, rent, lease, or redistribute the Service or access to it; (b) use the Service to build a competing product; (c) decompile, reverse engineer, or attempt to extract the source code of the Service except to the extent this restriction is prohibited by applicable law; or (d) remove or alter any proprietary notices on the Service.

Commercial, enterprise, or white-label use beyond a single individual or small team requires a separate written agreement. Contact legal@voxa.app to discuss.

Acceptable use

You agree that you will not, and will not permit anyone to:

  • Use the Service to send spam, unsolicited bulk messages, or promotional content via WhatsApp, email, SMS, social-media direct messages, or any other connected integration, in violation of the relevant platform's terms or applicable anti-spam law (including the Information Technology Act, 2000, the CAN-SPAM Act, the EU ePrivacy Directive, and comparable regulation).
  • Use Voxa's automated tool calling to harass, threaten, defame, defraud, or impersonate any person or entity.
  • Generate, store, or transmit content that sexually exploits minors, that promotes terrorism or violence against a real person or group, or that infringes another person's intellectual-property or privacy rights.
  • Use the Service to scrape websites or APIs at scale, or in any way that violates the target's terms of service or robots.txt.
  • Use the Service to automate fraudulent transactions, market manipulation, election interference, or any activity that would be a criminal offence under the laws of India or your local jurisdiction.
  • Attempt to circumvent rate limits, quotas, billing, or other technical restrictions; probe, scan, or test the vulnerability of our infrastructure without prior written authorisation; or interfere with the Service's integrity or performance.
  • Use the output of any language-model integration to train a competing AI model, in violation of the upstream provider's terms (Anthropic, OpenAI, Google, Groq, OpenRouter, and so on).

We reserve the right to suspend or terminate access without notice for any activity that we determine, in good faith, violates this section, exposes us to legal risk, or jeopardises the Service for other users.

Service availability

Voxa is currently in beta. We provide the Service on a best-effort basis. There is no service-level agreement, no uptime commitment, and no guarantee that any specific feature will continue to be offered. Features may change, regress, or be removed without prior notice while we iterate.

The Service depends on third-party providers (Apple's Speech framework, language-model APIs, OAuth integrations, Cloudflare, Hostinger, Neon). Outages, deprecations, or policy changes by any of those providers may degrade or interrupt the Service, sometimes without warning. We will do our best to keep things working and to communicate clearly when they are not.

Pricing & billing

Voxa is free during beta. Free-tier accounts are subject to per-user rate limits so that one account's usage does not degrade the Service for everyone else.

We plan to introduce paid tiers (consumer at approximately USD 9 to 15 per month, professional at approximately USD 30 to 50 per month, with enterprise pricing on request). When we do, we will give signed-in users at least 30 days advance notice by email and in-app notification before any charge is applied. If you exceed free-tier limits before a paid plan is available, requests will be throttled rather than billed; there are no surprise overage charges.

Once paid tiers are introduced, the following will apply (and will be restated in a billing-specific addendum at that time): (a) fees are payable in advance, in the currency stated at checkout, and are exclusive of taxes; (b) you authorise us and our payment processor to charge the payment method on file for each renewal until you cancel; (c) refunds are at our reasonable discretion and otherwise governed by applicable consumer law; (d) failed payments may result in suspension of paid features after a reasonable grace period.

Intellectual property

Your content. You retain ownership of every transcript, message, document, and memory fact you produce with Voxa, and of any output that you direct Voxa to generate on your behalf. You grant Voxa a limited, non-exclusive, royalty-free, worldwide licence to process that content solely for the purpose of operating the Service for you — for example, forwarding it to a language-model subprocessor to generate the response you asked for, storing it in your conversation history, or transmitting it to an integration you have authorised.

Our software. Voxa, the Voxa name, the Voxa marks, the macOS application, the backend, the website, and all related software, designs, and documentation are owned by Adwait Keshari and are protected by copyright, trademark, and other intellectual-property laws. Nothing in these Terms transfers any ownership of the Service to you.

Feedback. If you send us feedback, suggestions, or feature requests, you grant us a perpetual, irrevocable, royalty-free, worldwide licence to use that feedback for any purpose, without compensation or attribution.

Disclaimers

The Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied, statutory, or otherwise, to the maximum extent permitted by applicable law. We expressly disclaim all warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and quiet enjoyment.

Voxa generates text and dispatches actions using third-party language models. Output may be inaccurate, incomplete, biased, or unsuitable for your situation. Tool calls may be wrong, mistimed, or directed at the wrong recipient. Always review what Voxa writes or sends before relying on it for anything important. The Service is not a substitute for professional legal, medical, financial, or other expert advice.

Limitation of liability

To the maximum extent permitted by applicable law, in no event shall Voxa, its operator, or its suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any and all claims arising out of or related to these Terms or the Service is limited to the greater of (a) the total amount you paid us for the Service in the twelve (12) months immediately preceding the claim, or (b) one hundred United States dollars (USD 100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. To the extent any such exclusion or limitation is prohibited, it shall be modified to the minimum extent necessary to comply with applicable law and the remainder of these Terms shall continue in full force. Nothing in these Terms limits liability for fraud, gross negligence, wilful misconduct, or any other liability that may not be limited by applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless Voxa and its operator from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service in breach of these Terms; (b) your violation of any law or any third-party right, including any platform terms of service for an integration you have connected; (c) content you submit to or transmit through the Service; or (d) any action you instruct Voxa to take, including messages sent and transactions initiated on your behalf.

Termination

Termination by you. You may stop using the Service and delete your account at any time from the macOS app. Deleting your account triggers cascading deletion of your data subject to the retention schedule in our Privacy Policy.

Termination by us. We may suspend or terminate your access to the Service, with or without notice, if (a) you breach these Terms, (b) we are required to do so by law, (c) your activity poses a risk of material harm to other users, third parties, or the Service itself, or (d) we discontinue the Service in whole or in part (in which case we will give signed-in users reasonable notice and an export window, where feasible).

Sections that by their nature should survive termination — including the licence grant for your feedback, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution — survive termination.

Governing law

These Terms and any non-contractual obligations arising out of or in connection with them are governed by and construed in accordance with the laws of India, without regard to its conflict-of-law principles. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

Dispute resolution

Informal resolution first. If a dispute arises, you agree to first try to resolve it informally by writing to legal@voxa.app with a description of the dispute and your contact information. We will try in good faith to resolve the dispute within 30 days of receiving your notice.

Arbitration. Any dispute, controversy, or claim arising out of or in relation to these Terms or the Service that is not resolved informally shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, as amended from time to time. The arbitration shall be conducted by a sole arbitrator appointed by mutual agreement of the parties or, failing agreement within 30 days, in accordance with the Act. The seat and venue of arbitration shall be Bangalore, Karnataka, India. The language of the arbitration shall be English. The arbitral award shall be final and binding on the parties.

Notwithstanding the above, either party may seek interim or urgent injunctive relief from a court of competent jurisdiction to protect intellectual-property rights or confidential information pending the constitution of the arbitral tribunal.

Consumer protection notice: nothing in this section limits any non-waivable consumer right you may have under your local law, including the right to bring a claim before the consumer forum in your jurisdiction where applicable law mandates that forum.

Force majeure

Neither party shall be liable for any failure or delay in performance under these Terms (other than for delay in payment) to the extent such failure or delay is caused by acts of God, natural disasters, war, terrorism, riots, civil unrest, governmental action, epidemics or pandemics, internet or telecommunications outages, third-party service outages (including outages of cloud, AI, or OAuth providers), or any other event beyond the affected party's reasonable control.

Severability & entire agreement

Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitral tribunal of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.

No waiver. A failure or delay by either party in exercising any right under these Terms is not a waiver of that right. Any waiver must be in writing.

Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms to an affiliate or in connection with a merger, acquisition, reorganisation, or sale of substantially all our assets.

Entire agreement. These Terms, together with the Privacy Policy and any additional terms applicable to specific paid tiers or features, constitute the entire agreement between you and Voxa with respect to the Service and supersede all prior or contemporaneous understandings.
